2. Services

Neutronics provides AI automation services for businesses, including conversational AI, intake and routing workflows, follow-up automation, and related implementation support. Service scope, pricing, and timelines may be further defined in proposals, statements of work, or order forms.

3. Eligibility and Authority

You represent that you are at least 18 years old and have authority to bind the business entity using the services.

4. Customer Responsibilities

You agree to:

• Provide accurate information and lawful content.
• Maintain appropriate permissions for data you submit.
• Use services in compliance with applicable laws and regulations.
• Review and oversee AI outputs before relying on them for critical decisions.

5. Fees and Payments

Fees, billing intervals, and payment terms are specified in your commercial agreement. Unless otherwise stated, invoices are due upon receipt. Late balances may result in service suspension.

6. Intellectual Property

Neutronics retains rights to its platform, templates, and pre-existing materials. Subject to payment and contract terms, you retain ownership of your business data and content you provide. Custom deliverables ownership is governed by your signed commercial agreement.

7. Acceptable Use

You may not use the services to:

• Violate law, regulation, or third-party rights.
• Transmit malicious code or attempt unauthorized system access.
• Engage in deceptive, abusive, or unlawful automated communications.
• Reverse engineer or misuse the platform beyond allowed access.

8. Third-Party Integrations

Services may depend on third-party providers (for example, telephony, CRM, calendar, and messaging systems). We are not responsible for outages, changes, or limitations imposed by those providers.

9. Confidentiality

Each party agrees to protect confidential information received from the other party and to use it only for providing or receiving services, except as required by law.

10. Disclaimers

Services are provided on an "as is" and "as available" basis. To the fullest extent allowed by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement. AI outputs may be incomplete or inaccurate and require human review.

11. Limitation of Liability

To the maximum extent permitted by law, Neutronics will not be liable for indirect, incidental, special, consequential, or punitive damages, or loss of profits, revenue, goodwill, or data. Our aggregate liability arising from these Terms is limited to fees paid by you to us for the services during the 12 months preceding the claim.

12. Indemnification

You agree to indemnify and hold Neutronics harmless from claims arising from your use of services, your content, or your violation of law or these Terms.

13. Term and Termination

Either party may terminate services according to the applicable commercial agreement. Neutronics may suspend or terminate access for material breaches, non-payment, or unlawful use.

14. Changes to Terms

We may update these Terms from time to time. Updated terms will be posted with a revised "Last updated" date. Continued use of services after updates constitutes acceptance.

15. Governing Law

These Terms are governed by applicable laws designated in your commercial agreement, or, if none is specified, by the laws of the jurisdiction where Neutronics is organized, without regard to conflict-of-law rules.
